Blazing Bagels and Bakery, Inc. Terms of Service

Welcome to Blazing Bagels and Bakery, Inc. ("Blazing Bagels," "we," "us," or "our"). These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "user") and Blazing Bagels governing your access to and use of (1) our website at https://www.blazingbagels.com and any subdomains (collectively, the "Site"); and (2) any other online services, mobile apps, or platforms that link to or reference these Terms (collectively, the "Services").
By accessing or using the Site or Services, or by placing an order through the Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site or Services.
## 1. Eligibility and Account Requirements
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site or Services. By using the Site or Services, you represent and warrant that you have the legal capacity to form a binding contract with Blazing Bagels. If you are using the Site or Services on behalf of a company or other legal entity, you represent that you have authority to bind such entity to these Terms. The Site and Services are not intended for children under the age of 13. If you are under 13, please do not use the Site or Services.
## 2. Use of the Site and Services
Blazing Bagels grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site and Services for your personal, non‑commercial use, subject to these Terms. You agree to use the Site and Services only for lawful purposes and in compliance with all applicable laws and regulations. Without limiting the foregoing, you agree that you will not:
- Use the Site or Services in any manner that could disable, overburden, damage, or impair them or interfere with any other party’s use.
- Circumvent, bypass, or breach any security or authentication measures on the Site or Services.
- Use any automated means (such as robots or data mining) to access the Site or Services.
- Introduce any malware, viruses, or other harmful code.
- Post or transmit any unlawful, fraudulent, defamatory, obscene, or otherwise objectionable material.
- Violate the intellectual property or privacy rights of others.
We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without notice, for violation of these Terms or for any other reason in our sole discretion.
## 3. Orders and Payments
You may place orders for our products through the Site or Services. When you submit an order, you represent and warrant that all information you provide is accurate, complete, and current. You agree to pay all charges (including applicable taxes) incurred by you or on your behalf through the Site or Services, at the prices in effect when the charges are incurred.
### 3.1 Third‑Party Platforms
Blazing Bagels uses third‑party platforms to facilitate certain orders and payments:
- Retail and catering orders may be processed through Toast’s online ordering & POS systemS.
- Wholesale and distribution orders may be processed through our Odoo portal, with payments processed via Stripe.
- Merchandise (apparel) orders may be fulfilled and shipped through Printify, a print‑on‑demand service.
By placing an order through these platforms, you acknowledge and agree that:
- You may be subject to additional terms and conditions and privacy policies imposed by Toast, Odoo, Stripe, Printify, or other third‑party providers. You should review those terms and policies separately.
- Blazing Bagels is not responsible for the acts or omissions of these third‑party providers. We are not liable for delays, delivery failures, payment processing errors, or security breaches caused by any third‑party platform or payment processor.
- Your payment and order information may be collected and processed directly by such third‑party providers and stored pursuant to their policies. Blazing Bagels does not control these providers’ practices and disclaims all liability for their services.
### 3.2 Payment Authorization
When you provide a payment method (such as a credit card), you authorize Blazing Bagels or our third‑party payment processors to charge the full amount due (including any taxes and fees) to that payment method at the time you place your order. If your payment cannot be processed, we may cancel your order. You agree to promptly update all information to keep your payment method current, complete, and accurate.
### 3.3 Pricing, Availability, and Modifications
All prices and product descriptions are subject to change at any time without notice. The inclusion of any products or services on the Site or Services does not guarantee that they will be available. We reserve the right to modify or discontinue any product or service, impose conditions on the use of any promotional code or discount, limit quantities, and refuse or cancel any order, in our sole discretion. In the event that we cancel an order, we will attempt to notify you and refund any amounts charged.
### 3.4 Shipping and Delivery
Delivery dates provided are estimates only and not guaranteed. Title and risk of loss for any products ordered pass to you upon our delivery to the carrier. Blazing Bagels is not responsible for delivery delays due to weather, natural disasters, incorrect delivery information, or causes beyond our control. Please inspect your order upon receipt and notify us promptly if there is any problem.
### 3.5 Returns and Refunds
Our refund or exchange policy is set forth in our Refund Policy, which is incorporated into these Terms by reference. We may, in our sole discretion, replace or refund products that are damaged or unsatisfactory. To request a refund or replacement, please contact us at bagels@blazingbagels.com. We may require proof of purchase and photographic evidence of the issue.
## 4. Intellectual Property
All content and materials on the Site or Services—including, but not limited to, text, recipes, graphics, logos, images, audio clips, video clips, data compilations, software, and trademarks (collectively, "Content")—are the property of Blazing Bagels or our licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, or otherwise exploit any Content without our prior written consent. All rights not expressly granted are reserved.
## 5. User Content
If you submit reviews, comments, photos, suggestions, or other content ("User Content") through the Site or Services, you grant Blazing Bagels a non‑exclusive, royalty‑free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, publish, translate, distribute, display, and adapt such User Content throughout the world in any media. You represent and warrant that you have the right to submit the User Content and that it does not violate any law or infringe any third‑party rights. We reserve the right (but have no obligation) to monitor, remove, or edit User Content in our sole discretion.

We do not endorse or control these third‑party websites or services and are not responsible for their content, products, privacy practices, or security. THE SITE, SERVICES, AND ALL CONTENT AND PRODUCTS AVAILABLE THROUGH THEM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT. Blazing Bagels DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE ERROR‑FREE, UNINTERRUPTED, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF CERTAIN WARRANTIES, SO CERTAIN EXCLUSIONS MAY NOT APPLY TO YOU.
## 9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Blazing Bagels AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (1) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES; (2) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (3) ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE OR SERVICES; OR (4) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR INFORMATION. IN NO EVENT WILL THE AGGREGATE LIABILITY OF Blazing Bagels EXCEED THE GREATER OF (A) AMOUNTS YOU PAID Blazing Bagels IN THE PAST SIX MONTHS OR (B) $50. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
## 10. Indemnification
You agree to defend, indemnify, and hold harmless Blazing Bagels and our affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (1) your use or misuse of the Site or Services; (2) your User Content; (3) your violation of any law or the rights of a third party; or (4) your breach of these Terms.
## 11. Dispute Resolution and Governing Law
These Terms and any dispute related to them will be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws provisions. You agree that any dispute arising under or relating to these Terms, the Site, or the Services shall be resolved through binding arbitration conducted in King County, Washington, under the rules of the American Arbitration Association. You waive any right to participate in a class action or class arbitration. The arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or other proprietary rights.
## 12. Changes to Terms
We reserve the right to modify these Terms at any time, in our sole discretion. If we make material changes, we will post the revised Terms on the Site and update the “Effective Date” above. Your continued use of the Site or Services after the revised Terms are posted constitutes your acceptance of the changes. We encourage you to review the Terms regularly.
